Affiliate Program Terms

Article I: Overview

These Affiliate Program Terms (“Affiliate Terms”) govern participation in the Blue Arctic Affiliate Program (the “Program”) and form an agreement between Blue Arctic, LLC (“Blue Arctic,” “we,” “us,” or “our”) and the individual or entity enrolled in the Program (the “Affiliate,” “you,” or “your”). By enrolling in or participating in the Program, you agree to be bound by these Affiliate Terms.

The Program lets you refer prospective customers to Blue Arctic using a unique referral link and earn commission on qualifying payments for eligible services purchased through that link. Commission is recurring: it is earned on qualifying payments made for an eligible referred service while that service remains active and eligible, and not only on the first payment.

These Affiliate Terms are one of the Agreement Documents described in the Master Service Agreement. They govern your participation as an Affiliate. If you are also a Blue Arctic customer, your services continue to be governed by the Master Service Agreement, the Terms of Service, the Acceptable Use Policy and the Privacy Policy. Nothing in these Affiliate Terms changes those documents, and nothing in them entitles you to a commission that these Affiliate Terms exclude.

Article II: Eligibility and Enrollment

Who can join. The Program is open to individuals and entities that are at least 18 years of age (or the age of majority in their jurisdiction, whichever is greater) and legally able to enter into a binding contract. You do not need to purchase a Blue Arctic service to participate, and you do not need to be an active Blue Arctic customer.

Account requirement. Enrollment requires a Blue Arctic client portal account, which is free to create. Your referral link, referral records, commission balance and payout requests are managed through that account. You are responsible for the security of the account and for all activity conducted through it.

Accurate information. You must provide accurate, current and complete information when enrolling, and keep it current. Blue Arctic may require identity, business or tax information before approving a payout, and may withhold a payout until that information is provided.

One account. Each individual or entity may hold one affiliate account. Operating multiple affiliate accounts, or enrolling through a related party in order to circumvent these Affiliate Terms, is a breach of Article VII.

Discretion. Enrollment is not automatic acceptance for all time. Blue Arctic may decline or revoke enrollment, and may suspend or terminate participation, in accordance with Article X.

Article III: Referral Tracking

On enrollment you receive a unique referral link. When someone visits Blue Arctic through your referral link and purchases an eligible service, the referral is tracked to your affiliate account.

Tracking is not guaranteed. Referral tracking depends on the visitor’s browser and device. Browser privacy settings, cookie blocking, tracking protection, ad blockers, private browsing, clearing site data, switching device or browser between the click and the purchase, and similar factors can prevent a referral from being recorded. Commission is payable only on referrals recorded by Blue Arctic’s tracking system, and Blue Arctic’s records are the record of attribution for the purposes of these Affiliate Terms.

Existing customers and existing relationships. Commission is not payable on an order placed by an existing Blue Arctic customer for a service they already hold, on a renewal of a service purchased before the referral, or on an order that Blue Arctic determines did not originate from your referral link.

Disputes. If you believe a referral was not tracked correctly, contact us through your client portal account with the details. Blue Arctic will review the available records in good faith. Blue Arctic cannot credit a referral for which no tracking record exists.

Article IV: Commission Rates and Eligible Services

Commission rates depend on the service purchased. The rates in effect as of the date at the top of this document are:

Eligible services. The services listed above are the eligible services. Commission is payable only on qualifying payments for eligible services. Products and services not listed above, including domain registrations and renewals, earn commission only where a commission rate has been configured for them at the time of purchase, and at that configured rate.

Qualifying payments. A qualifying payment is a payment actually received and retained by Blue Arctic for an eligible service on an account attributed to you. Commission is calculated on the amount paid for the eligible service and excludes taxes, duties, domain registration and renewal fees, amounts paid using account credit that was itself derived from commission, and any amount refunded, credited, reversed or charged back.

Rate follows the service. If a referred customer changes plan, the rate applied to subsequent qualifying payments is the rate for the service they then hold. Upgrading from an eligible service to a different eligible service does not create a second commission event; it changes the rate that applies going forward.

Signup bonus. A one-time signup bonus is credited to the affiliate balance on enrollment, separately from commission. See Article IV-A.

Article IV-A: Signup Bonus

What it is. Blue Arctic credits a one-time signup bonus of $10 to the affiliate balance of each eligible affiliate on enrollment in the Program.

It is an affiliate balance credit. The signup bonus is credited to your affiliate balance. It is not a cash payment, it is not paid out on its own, and $10 is below the $50 minimum payout threshold set out in Article VI.

It counts toward the payout threshold. The signup bonus counts toward the $50 minimum payout threshold. An affiliate who has received the bonus and no commission holds a balance of $10 and requires a further $40 in eligible commission before a payout can be requested.

One per affiliate. The signup bonus is available once per eligible affiliate. It is not available on a second or subsequent affiliate account held by the same individual or entity, on an account created to replace a closed one, or on an account held by a related party for the purpose of claiming it again.

Eligibility and administration. Blue Arctic may withhold, reverse or remove the signup bonus, and may suspend or terminate participation under Article X, where an affiliate account is duplicated, where enrollment details are inaccurate or falsified, where the account is created to collect the bonus rather than to refer customers, or where the account is otherwise in breach of Article VII. A bonus that is reversed is deducted from the affiliate balance and may produce a negative balance, which is offset against future commission under Article VI.

Changes. The signup bonus is a feature of the Program and may be changed, reduced or discontinued under Article XI. A bonus already credited to an affiliate balance is not affected by a later change to the bonus offered to new affiliates.

Article V: Recurring Commission

Commission is earned on qualifying payments for an eligible referred service for as long as that service remains active and eligible. Each qualifying payment generates a separate commission at the rate then applicable to that service, and each is subject to the validation period in Article VI.

Recurring commission stops when the referred service stops. In particular, no further commission is earned once a referred service is cancelled, terminated, expires, is suspended for non-payment and not reinstated, is transferred to another account, or ceases to be an eligible service. No commission is earned for any period for which no qualifying payment is received.

Recurring commission is tied to the referred service, not to the referred customer. If a referred customer purchases an additional eligible service through your referral link, that service is treated on its own terms under these Affiliate Terms.

Article VI: Validation, Reversal and Payout

Validation period. Commission is credited to your account as pending and is held for a validation period of 60 days before it becomes available. The validation period exists because a payment is not final on the day it is made: orders are refunded, cancelled, charged back and identified as fraudulent after the fact, and each of those reverses the commission attached to it.

The validation period is not a payout schedule. It describes how long a commission is held before it becomes available. It does not mean payouts are issued every 60 days, and it does not create an entitlement to a payout at the end of it.

Minimum payout. Once your available affiliate balance reaches $50, you may request a payout through your Blue Arctic account. Balances below $50 remain in your account and continue to accumulate. The signup bonus described in Article IV-A counts toward this threshold.

Reversals. Commission is reversed, whether pending or already available, where the underlying payment is refunded, cancelled, charged back or otherwise reversed; where the order is determined to be fraudulent, duplicated or placed in breach of Article VII; where the referral is found not to be attributable to you; or where the commission was credited in error. A reversal may produce a negative balance, which is offset against future commission. If a payout has already been issued on commission that is subsequently reversed, Blue Arctic may offset the amount against future commission or require repayment.

Taxes. You are responsible for all taxes arising from commission you receive, and for any tax registration or reporting your jurisdiction requires. Blue Arctic may withhold amounts, or require tax documentation before a payout, where the law requires it.

Article VII: Prohibited Conduct

The following are prohibited, and commission arising from any of them is not payable and may be reversed:

Self-referral and related parties

• Using your own referral link to purchase services for yourself, for an account you control, or for an entity under your common control or ownership
• Arranging for a member of your household, or a related party, to purchase through your link in order to obtain a commission on your own or their purchase
• Operating more than one affiliate account, or enrolling through another party, to circumvent these Affiliate Terms
• Creating duplicate, fictitious or replacement affiliate accounts in order to claim the signup bonus more than once
• Offering, promising or paying a rebate, cash back, discount or other inducement funded from your commission, unless Blue Arctic has approved it in writing

Deceptive tracking and traffic

• Cookie stuffing, forced clicks, automatic redirects, hidden or zero-size frames, pop-unders, or any method that records a referral without a genuine, deliberate click by a real visitor
• Distributing your referral link through browser extensions, toolbars, adware, or software that injects or rewrites affiliate links
• Generating clicks or orders by automated means, or using stolen, fabricated or unauthorized payment details
• Placing orders you know or should know will be refunded or charged back

Misrepresentation

• Describing Blue Arctic services, prices, features, performance, uptime commitments or support in a way that is inaccurate, outdated or misleading
• Promising discounts, terms, guarantees or service levels that Blue Arctic does not offer
• Publishing fabricated reviews, testimonials, benchmarks or comparisons, or presenting your own opinion as Blue Arctic’s
• Presenting yourself as Blue Arctic, or as an employee, agent, reseller or authorized representative of Blue Arctic
• Publishing or distributing discount codes that Blue Arctic has not issued to you for that purpose

Advertising and search

• Bidding on “Blue Arctic,” “bluearctic,” Blue Arctic product names, or misspellings and close variants of them, in paid search or paid social advertising
• Using Blue Arctic trademarks in the display URL, headline or ad path of a paid advertisement
• Directing paid advertising traffic straight to bluearctic.com through a referral link, rather than to your own content
• Purchasing advertising that is designed to intercept traffic already searching for Blue Arctic by name

Unsolicited messages and unsuitable placements

• Sending unsolicited bulk email, messages or comment spam containing your referral link, or otherwise promoting Blue Arctic in breach of the CAN-SPAM Act or other applicable law
• Placing your referral link on any website or property whose content would breach the Acceptable Use Policy if it were hosted by Blue Arctic, including content that is illegal, infringing, sexually explicit, hateful, harassing or deceptive
• Registering domain names, social media accounts, application names or business names that contain “Blue Arctic” or a confusingly similar variant

Article VIII: Advertising Disclosure

Where you promote Blue Arctic using a referral link, you must clearly and conspicuously disclose that you may earn a commission. The disclosure must be plain, in the same place a reader encounters the recommendation, and not hidden behind a link, placed only in a footer, or written so that a reader could miss it.

You are responsible for complying with the law and guidance that applies to you, including the United States Federal Trade Commission’s Guides Concerning the Use of Endorsements and Testimonials in Advertising (16 C.F.R. Part 255) where applicable, equivalent rules in your own jurisdiction, and the disclosure rules of any platform you post on. Blue Arctic does not review or approve your disclosures, and compliance is your obligation.

Article IX: Use of Blue Arctic Brand Assets

Blue Arctic grants you a limited, non-exclusive, non-transferable, revocable license to use the Blue Arctic name, logo and promotional artwork that Blue Arctic makes available, solely to promote Blue Arctic services under these Affiliate Terms and for as long as you participate in the Program.

You may not alter, recolor, redraw, stretch, or combine the Blue Arctic mark with other marks, or use it in a way that suggests endorsement of your own products or services, sponsorship of your business, or that you are part of Blue Arctic. All goodwill arising from your use of the marks belongs to Blue Arctic. The license ends when your participation in the Program ends, and Blue Arctic may withdraw it at any time, at which point you must stop using the assets.

The website badges published on the Spread the Word page are a separate courtesy, open to anyone. Those badges link to bluearctic.com and do not carry a referral link, so displaying one earns no commission. Substituting your referral link into badge artwork, or presenting a badge as an endorsement of your business, is not permitted.

Article X: Term, Suspension and Termination

These Affiliate Terms apply from the date you enroll and continue until participation ends. You may leave the Program at any time by closing your affiliate participation through your client portal account or by notifying us. Blue Arctic may suspend or terminate your participation at any time, with or without cause, on notice to the email address on your account.

When participation ends, your referral link stops earning: no commission is earned on any payment received after the effective date of termination, including payments for services referred before it. Commission already earned is treated as follows:

• If you leave, or Blue Arctic ends your participation for convenience: commission that has completed the validation period remains payable, and may be requested once your available balance reaches $50.
• If participation is terminated for a breach of Article VII: pending and available commission may be withheld and forfeited, and Blue Arctic may reverse commission already paid on the affected referrals.

Suspension or termination of your participation in the Program does not by itself affect any Blue Arctic services you purchase as a customer, which continue to be governed by the Master Service Agreement.

Article XI: Changes to the Program

Blue Arctic may change the Program at any time, including commission rates, the list of eligible services, the minimum payout amount, the validation period, and these Affiliate Terms. Changes take effect when the updated document is published at this address, and the date at the top of this document is updated when they are.

Changes apply to commission earned on or after the effective date. A rate change does not retroactively alter commission that has already been earned and validated. If you do not accept a change, your remedy is to stop participating in the Program under Article X. Continued participation after a change takes effect is acceptance of it.

Blue Arctic may also discontinue the Program entirely on notice. If it does, commission earned before the discontinuation date is treated as termination for convenience under Article X.

Article XII: Relationship, Disclaimers and Liability

Independent parties. You participate in the Program as an independent contractor. Nothing in these Affiliate Terms creates an employment relationship, partnership, joint venture, franchise or agency between you and Blue Arctic. You have no authority to make any representation, commitment or agreement on Blue Arctic’s behalf, and you are responsible for your own costs, taxes and compliance obligations.

No earnings guarantee. Blue Arctic does not guarantee any level of earnings, any number of referrals, or that any referral will be recorded, convert or remain a customer. Earnings examples published on the Affiliate Program page and anywhere else are arithmetic illustrations, not projections, forecasts or promises of income.

Program provided as is. The Program, the affiliate dashboard, the referral link and the tracking that supports them are provided on an as-is and as-available basis. Blue Arctic does not warrant that tracking will be uninterrupted or error free.

Indemnity. You agree to indemnify and hold Blue Arctic harmless from any third-party claim, damage, liability, cost or expense (including reasonable attorneys’ fees) arising from your participation in the Program, your promotional activity, your content, or your breach of these Affiliate Terms.

Limitation of liability and governing law. The limitation of liability in Section 11 of the Master Service Agreement applies to these Affiliate Terms. These Affiliate Terms are governed by the laws of the State of Florida, and disputes are subject to the dispute resolution and venue provisions in Sections 15 and 16 of the Master Service Agreement.

Article XIII: Contact
